Terms of Use

The terms that govern the site, the product demos and the services we deliver. Where a signed engagement agreement says something different, that agreement wins.

Welcome to Node-Zero Labs. Please read these Terms of Use and our Privacy Policy (together, the "Terms") carefully. By using our website or Node-Zero's services, as described below, you agree to these Terms.

Acceptance of the Terms of Use

These Terms of Use are entered into by and between you and Node-Zero Labs ("Node-Zero," "Company," "we," "our," or "us"). They govern your access to and use of our website at node-zero.in and its sub-pages (the "Website"), our password-protected product demos (the "Demos"), our brochure and other materials we publish (together with the Website and Demos, the "Platform"), and the services we offer (the "Services"), whether you are a visitor, a prospective client or a client.

By using the Platform or the Services, or by clicking to accept or agree to the Terms when this option is made available to you, you accept and agree to be bound by these Terms of Use and our Privacy Policy, which is incorporated by reference. If you are using the Platform or Services on behalf of an organization, you confirm that you have authority to bind that organization to these Terms, and "you" includes that organization. If you do not agree to these Terms, please do not access or use the Platform or the Services, but do get in touch with us so we can try to help.

Engagements and Order of Precedence

Node-Zero delivers Services under a written agreement, such as a master services agreement, statement of work ("SOW"), proposal accepted in writing, or non-disclosure agreement (each an "Engagement Agreement"). The Engagement Agreement sets out the scope, deliverables, timeline, fees, payment milestones, acceptance criteria, ownership and support terms for that engagement. If these Terms conflict with an Engagement Agreement, the Engagement Agreement prevails for that engagement.

Term

These Terms remain in full force and effect while you use the Platform or the Services. Provisions that by their nature should survive termination will survive, including ownership provisions, confidentiality, warranty disclaimers, indemnity and limitations of liability.

Eligibility

The Platform and Services are intended for businesses and professionals. You must be at least eighteen (18) years old and able to form a binding contract under applicable law to access or use them.

Changes to the Terms of Use

We may change, replace or otherwise modify these Terms of Use at any time. The date of the last modification is stated at the top of this page. If we make material changes (for example, for security, legal or regulatory reasons), we will highlight them on the Website and will try to notify active clients and partners in advance by email. The revised Terms will take effect when posted, or on the later date stated in our notice. Your continued use of the Platform after that date means you accept the revised Terms. Changes to these Terms will not alter a signed Engagement Agreement unless both parties agree in writing.

What Node-Zero Does

Node-Zero is an AI infrastructure studio based in Bengaluru, India. We build the data, environments and human-feedback systems that help AI labs and AI infrastructure companies train and evaluate models for real-world work. Our Services may include:

  • RL environments: high-fidelity, controlled replicas of real software (for example, email, calendar, CRM, ticketing, code hosting, documents and payments) with their own state, tools, permissions, constraints and failure modes, populated with synthetic seed data and personas, for computer-use, coding, tool-use, multi-app, multi-agent, gaming, long-horizon and simulation or physical RL.
  • Agentic tasks: single-step through long-horizon task suites built on top of a stable environment.
  • Training data: synthetic and expert-verified datasets for supervised fine-tuning, preference optimization and post-training.
  • Evaluations: evaluation harnesses, verifiers, graders and rubrics for capability, reliability and task completion.
  • Expert workflows: domain-expert demonstrations, verification, rankings and feedback.
  • Applied AI research: end-to-end execution of data and evaluation programs.

For AI labs and AI infrastructure companies, we work as a production layer behind your team. You bring your client's requirements; we return a quote, a delivery plan and an exact list of deliverables scoped to your volume, domain and deadline. You remain the client of record. Unless the Engagement Agreement says otherwise, invoices and deliverables go to you, and we do not contact your end client unless you ask us to in writing.

Deliverables and Your Responsibilities

Deliverables are described in the Engagement Agreement. Depending on the engagement, they may include environment source and deployment, seed data and personas, task suites, evaluation harnesses and rubrics, documentation and handover, and a period of support for reported bugs and performance issues.

You are responsible for:

  • providing accurate, complete and timely requirements, specifications, access and feedback;
  • having the rights and permissions needed to share any materials you provide to us;
  • not sending us real personal data unless the Engagement Agreement specifically requires it and sets out how it will be handled; and
  • deciding how deliverables are used, including training, evaluating or deploying any model or agent, and complying with laws that apply to that use.

Changes to apps, workflows, task volume, live data, or other scope after an Engagement Agreement is signed may require a new quote or change order.

No Guarantee of Model Outcomes

Our environments, tasks, data, graders and evaluation results are tools for training and measuring AI systems. They are not a guarantee of any model's or agent's performance (including future performance), reliability, safety or effectiveness. We do not control your models, agents, training runs, compute or how you interpret evaluation results. Unless the Engagement Agreement says otherwise, training and compute are your responsibility: we build the environment, and you run the agents. You are solely responsible for all decisions you make about your models and agents, and for any effects of using them.

Reliance on Information Posted

The Website, brochure and Demos are provided for general information and demonstration. We do not warrant the accuracy, completeness or usefulness of that information, and any reliance you place on it is at your own risk. Descriptions of past work refer to work delivered by our founding team and are illustrative. Third-party names, products and logos shown on the Platform belong to their owners, are used only to describe the software our environments replicate or teams our founding team has worked with, and do not imply endorsement or affiliation.

Accessing the Platform and Demo Security

We may change, suspend or withdraw the Platform, or any part of it, at any time without notice. We will not be liable if all or part of the Platform is unavailable at any time or for any period.

To access the Demos, we may give you a password or other credentials. Demo credentials are confidential and are provided only for your evaluation of Node-Zero. You must not share them outside your organization, publish them, or use them to give anyone else access. You are responsible for activity carried out using credentials we have given you, and you must tell us immediately at hello@node-zero.in if you believe they have been compromised. We may change or revoke credentials at any time, for any reason.

Any information you provide through the Platform, including through the "Book a demo" form, must be correct, current and complete, and is governed by our Privacy Policy.

Communications

By submitting a form, booking a demo or engaging us, you agree to receive electronic communications from us, such as emails about your inquiry, scheduling, quotes, deliverables, invoices and support. You agree that electronic communications satisfy any legal requirement that communications be in writing. You may opt out of marketing emails at any time using the unsubscribe link or by emailing hello@node-zero.in. Operational messages about an active engagement are part of that engagement.

Fees and Payment

Fees for the Services are set out in the quote or Engagement Agreement. Unless that agreement says otherwise:

  • fees are invoiced against the milestones it describes (for example, on signing the SOW, at environment freeze, and on handover and acceptance);
  • fees are exclusive of taxes, and any applicable GST, withholding or other taxes are added to or borne in addition to the fees as required by law;
  • quotes are valid for the period stated on them; and
  • changes in scope are quoted separately.

Fees on the Platform, brochure or other published materials are indicative only and are not an offer.

Confidentiality

Each party may receive confidential information from the other, including, for you, your requirements, workflows, client identities and model or training details, and, for us, our Demos, methods, tooling, pricing and non-public materials. Each party will use the other's confidential information only for the engagement or evaluation it was shared for, will protect it with at least reasonable care, and will not disclose it except to people who need to know it and are bound by confidentiality obligations, or where required by law. We do not train models on your materials and do not reuse your confidential information in work for other clients. Any signed non-disclosure or Engagement Agreement takes precedence over this section.

Feedback

If you give us ideas, suggestions, critiques or other feedback about the Platform or Services ("Feedback"), you agree that we may use it to improve and promote our Platform and Services without any obligation or compensation to you. You grant us a worldwide, royalty-free, fully paid, perpetual, irrevocable license to use, reproduce, modify and otherwise exploit Feedback in any form, unless we have agreed otherwise in writing. We will not publicly attribute Feedback to you, or name you or your organization as a client, without your permission.

Intellectual Property Rights

The Platform

The Platform and its contents, features and functionality, including all information, software, text, designs, images, video, the Demos and the selection and arrangement of them, are owned by Node-Zero, its licensors or other providers. They are protected by Indian and international copyright, trademark, trade secret and other intellectual property laws.

These Terms let you use the Platform only to learn about Node-Zero and to evaluate whether to engage us. You must not:

  • reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store or transmit any material on the Platform, except for copies your browser makes incidentally while you view it, or a copy of our brochure kept for your internal evaluation;
  • delete or alter any copyright, trademark or other proprietary notices;
  • copy, recreate, reverse engineer or decompile the Demos, or use them (or any output from them) to build, train, fine-tune or benchmark any model, environment, dataset or competing product; or
  • publish screenshots, recordings, benchmarks or descriptions of the Demos without our prior written consent.

No right, title or interest in the Platform is transferred to you, and all rights not expressly granted are reserved.

Deliverables

Ownership of and license rights in deliverables are set out in the Engagement Agreement. Unless the Engagement Agreement says otherwise:

  • Your materials. You keep ownership of all requirements, specifications, data and other materials you provide to us, and you grant us a limited license to use them only to deliver the engagement.
  • Deliverables. On full payment of the applicable fees, the deliverables created specifically for you under the engagement are assigned to you (or, where you are acting for an end client, to you for onward transfer as you agree with that client).
  • Node-Zero materials. We keep ownership of our pre-existing and independently developed tools, frameworks, templates, libraries, methods and know-how, and of general improvements to them that do not contain your confidential information. Where any of these are included in a deliverable, we grant you a perpetual, non-exclusive, royalty-free license to use them as part of that deliverable.

Trademarks

The Node-Zero name, the Node-Zero Labs name and logo, and related names, logos, product and service names, designs and slogans are trademarks of Node-Zero. You must not use them without our prior written permission. All other names, logos, product and service names, designs and slogans on the Platform are the trademarks of their respective owners.

Reporting Intellectual Property Concerns

We take intellectual property seriously. If you believe material on the Platform infringes your copyright or other rights, please email hello@node-zero.in with:

  • your name and contact details (postal address, telephone number and email address);
  • a description of the work or right you believe is being infringed;
  • the location of the material on the Platform, described precisely enough for us to find it;
  • a statement that you believe in good faith that the use is not authorized by the rights owner, its agent or the law; and
  • a statement that the information in your notice is accurate and that you are the rights owner or are authorized to act on their behalf.

We will review notices promptly and may remove or disable access to the material. If you knowingly misrepresent that material is infringing, you may be liable for damages.

Prohibited Uses

You may use the Platform only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Platform:

  • in any way that violates any applicable law or regulation, including laws on data protection and on the export of data, software or technology;
  • to exploit, harm or attempt to harm minors in any way;
  • to send, or procure the sending of, unsolicited advertising or promotional material, or any other form of spam;
  • to impersonate or attempt to impersonate Node-Zero, a member of our team, another user or any other person or entity;
  • to submit personal data about any person through our forms without a lawful basis to do so; or
  • in any way that infringes the rights of others, or that is illegal, threatening, fraudulent or harmful.

You also agree not to:

  • use the Platform in any manner that could disable, overburden, damage or impair it, or interfere with anyone else's use of it;
  • use any robot, spider, scraper or other automated means to access, monitor or copy the Platform or the Demos, for any purpose;
  • use any manual process to monitor or copy material on the Platform for any unauthorized purpose without our prior written consent;
  • attempt to bypass any password, access control or other security measure, or probe, scan or test the vulnerability of the Platform without our written authorization;
  • introduce viruses, trojan horses, worms, logic bombs or other malicious or technologically harmful material; or
  • otherwise attempt to interfere with the proper working of the Platform.

Monitoring and Enforcement

We have the right to:

  • revoke demo credentials or suspend or terminate your access to all or part of the Platform, for any or no reason, including any violation of these Terms of Use;
  • take appropriate legal action, including referral to law enforcement, for any illegal or unauthorized use of the Platform; and
  • cooperate with law enforcement authorities or court orders requesting or directing us to disclose information about anyone using the Platform.

Third-Party Websites and Services

The Platform may link to or integrate with third-party websites, applications, tools or services, such as scheduling tools, form providers, LinkedIn and X ("External Services"). Our environments may also replicate the look and behavior of third-party software for training and evaluation purposes; these replicas run on synthetic data and are not connected to, endorsed by or affiliated with the owners of that software.

We do not control External Services and are not responsible for their content, operation or use. By linking to them, we make no representation or warranty about them. External Services have their own terms and privacy policies, which you are responsible for reviewing, and you use them at your own risk.

Users Outside India

Node-Zero is operated from Bengaluru, India. If you access the Platform from outside India, you do so on your own initiative and are responsible for complying with local laws. We work with clients globally; cross-border delivery terms are set out in the Engagement Agreement.

Disclaimer of Warranties

EXCEPT AS EXPRESSLY SET OUT IN AN ENGAGEMENT AGREEMENT, YOUR USE OF THE PLATFORM, ITS CONTENT, THE DEMOS AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM IS AT YOUR OWN RISK. THEY ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER NODE-ZERO NOR ANYONE ASSOCIATED WITH NODE-ZERO MAKES ANY WARRANTY OR REPRESENTATION ABOUT THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY OR AVAILABILITY OF THE PLATFORM. WITHOUT LIMITING THE FOREGOING, NEITHER NODE-ZERO NOR ANYONE ASSOCIATED WITH NODE-ZERO REPRESENTS OR WARRANTS THAT THE PLATFORM, ITS CONTENT OR ANY SERVICES OR ITEMS OBTAINED THROUGH IT WILL BE ACCURATE, RELIABLE, ERROR-FREE OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE PLATFORM OR THE SERVER THAT MAKES IT AVAILABLE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT IT WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

TO THE FULLEST EXTENT PERMITTED BY LAW, NODE-ZERO DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT AND FITNESS FOR A PARTICULAR PURPOSE. NODE-ZERO DOES NOT WARRANT ANY PARTICULAR TRAINING, EVALUATION OR PERFORMANCE OUTCOME FOR ANY MODEL OR AGENT. THE FOREGOING DOES NOT AFFECT ANY WARRANTY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, OR ANY SUPPORT COMMITMENT EXPRESSLY SET OUT IN AN ENGAGEMENT AGREEMENT, SUCH AS SUPPORT FOR REPORTED BUGS AND PERFORMANCE ISSUES IN DELIVERED ENVIRONMENTS.

Limitation on Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL NODE-ZERO, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, CONTRACTORS, AGENTS, OFFICERS OR DIRECTORS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, INCLUDING LOSS OF REVENUE, PROFITS, BUSINESS, ANTICIPATED SAVINGS, USE, GOODWILL OR DATA, OR COMPUTE OR TRAINING COSTS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE PLATFORM OR THE SERVICES, WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT OR OTHERWISE, EVEN IF FORESEEABLE.

IN NO EVENT WILL THE TOTAL LIABILITY OF NODE-ZERO AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, CONTRACTORS, AGENTS, OFFICERS AND DIRECTORS TO ANY PARTY, REGARDLESS OF THE FORM OF ACTION, EXCEED THE FEES YOU PAID TO NODE-ZERO FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE EVENT THAT GAVE RISE TO LIABILITY. IF YOU HAVE NOT PAID ANY FEES, OUR TOTAL LIABILITY WILL NOT EXCEED INR 10,000.

WITHOUT LIMITING THE FOREGOING, NODE-ZERO WILL HAVE NO LIABILITY FOR ANY LOSS OR DAMAGE ARISING FROM:

(A) YOUR RELIANCE ON THE CONTENT OF THE PLATFORM, THE DEMOS OR ANY COMMUNICATION WITH US, INCLUDING CONTENT ORIGINATING FROM THIRD PARTIES;

(B) HOW YOU OR YOUR CLIENTS USE ANY ENVIRONMENT, TASK, DATASET, GRADER OR EVALUATION RESULT, INCLUDING ANY MODEL OR AGENT TRAINED, EVALUATED OR DEPLOYED USING THEM;

(C) YOUR INABILITY TO ACCESS OR USE THE PLATFORM OR ANY PART OF IT, OR ANY CHANGE, SUSPENSION OR WITHDRAWAL OF THE PLATFORM OR THE DEMOS;

(D) ANY ACTION TAKEN AGAINST YOU BY THIRD-PARTY RIGHTS HOLDERS IN RELATION TO MATERIALS YOU PROVIDED TO US, OR ANY INVESTIGATION BY US OR ANY LAW ENFORCEMENT AUTHORITY REGARDING YOUR USE OF THE PLATFORM;

(E) ANY ERRORS OR OMISSIONS IN THE PLATFORM'S TECHNICAL OPERATION, OR ANY INACCURACY IN ITS CONTENT;

(F) YOUR FAILURE TO PROVIDE US WITH ACCURATE OR COMPLETE INFORMATION OR REQUIREMENTS, OR TO KEEP DEMO CREDENTIALS CONFIDENTIAL; OR

(G) ANY LOSS OR DAMAGE TO COMPUTER HARDWARE OR SOFTWARE, OR ANY LOSS OR DAMAGE FROM A SECURITY BREACH NOT CAUSED BY OUR FAILURE TO MEET OUR OBLIGATIONS.

NOTHING IN THESE TERMS LIMITS ANY LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW. YOU AGREE THAT THESE LIMITATIONS REFLECT A REASONABLE AND FAIR ALLOCATION OF RISK BETWEEN YOU AND US AND ARE A FUNDAMENTAL PART OF THE BARGAIN BETWEEN US. WHERE AN ENGAGEMENT AGREEMENT CONTAINS ITS OWN LIMITATION OF LIABILITY, THAT LIMITATION APPLIES TO THE ENGAGEMENT INSTEAD.

Indemnification

You agree to defend, indemnify and hold harmless Node-Zero, its affiliates, licensors and service providers, and its and their officers, directors, employees, contractors, agents, successors and assigns, from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable legal fees) arising out of or relating to: your violation of these Terms of Use; any materials you provide to us that infringe a third party's rights or were shared without the necessary rights or permissions; your use or misuse of the Demos; or your or your clients' use of any deliverable, including any model or agent trained, evaluated or deployed with it.

Governing Law and Jurisdiction

These Terms of Use, and any dispute or claim arising out of or relating to them or to the Platform (including non-contractual disputes or claims), are governed by the laws of India, without regard to conflict-of-law rules. Subject to the Arbitration section below, the courts at Bengaluru, Karnataka, India have exclusive jurisdiction.

Arbitration

Any dispute arising out of or relating to these Terms of Use or the Platform, including about their interpretation, breach, validity, performance or termination, that is not resolved through good-faith discussion within thirty (30) days will be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, as amended. The tribunal will consist of a sole arbitrator appointed by mutual agreement. The seat and venue of arbitration will be Bengaluru, Karnataka, India, and the proceedings will be conducted in English. Either party may seek urgent interim relief from a competent court. Where an Engagement Agreement contains its own dispute resolution clause, that clause applies to disputes under that engagement.

Termination

We may suspend or terminate your access to the Platform or the Demos at any time if you violate these Terms of Use. You may stop using the Platform at any time. Termination of an engagement is governed by the Engagement Agreement. On termination, your right to access the Demos ends immediately. We may keep copies of information in backup systems for a limited period, as described in our Privacy Policy.

Waiver and Severability

No waiver by Node-Zero of any term or condition of these Terms of Use will be a further or continuing waiver of that term or a waiver of any other term. Any failure by Node-Zero to assert a right or provision under these Terms of Use will not be a waiver of that right or provision.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, that provision will be eliminated or limited to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

Assignment

You may not transfer or assign these Terms or any rights or licenses granted under them without our prior written consent. We may assign them without restriction, including to a successor in a merger, acquisition or sale of assets. Any attempted assignment in violation of this section is void. These Terms bind and benefit the parties and their permitted successors and assigns.

Entire Agreement

These Terms of Use and our Privacy Policy are the entire agreement between you and Node-Zero Labs about the Platform, and supersede all prior and contemporaneous understandings about it. Services are governed by these Terms together with the applicable Engagement Agreement.

Your Comments and Concerns

The Platform is operated by Node-Zero Labs, Bengaluru, Karnataka, India. Please send all feedback, comments, requests for support and other communications about the Platform or Services to hello@node-zero.in.
